Backblaze Announces Pricing of Upsized $175 Million Convertible Senior Notes Offering

SAN FRANCISCO -- Backblaze, Inc. (Nasdaq: BLZE), the storage platform powering AI and data-intensive workloads, today announced the pricing of $175 million aggregate principal amount of 0.00% Convertible Senior Notes due 2031 (the “Notes”) in a private offering (the “Offering”) to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”).

The size of the offering was increased from the previously announced offering of $150 million aggregate principal amount of Notes.

Backblaze also granted the initial purchasers of the Notes an option to purchase, for settlement within a period of 13 calendar days from, and including, the date the Notes are first issued, up to an additional $26.25 million aggregate principal amount of the Notes.

The sale of the Notes to the initial purchasers is expected to close on August 24, 2026.
