Grants Restricted Share Units to Darren Wolfe Director Sales, Federal & Public Safety

(CSE: SPAI; OTCQB: SPAIF; Frankfurt: 5OV0) (“ SPARC AI ” or the “ Company ”) announced the grant of restricted share units to Darren Wolfe, Director Sales, Federal & Public Safety under the Company’s Restricted Share Unit Plan.
Mr. Wolfe leads SPARC AI’s United States federal and public safety sales effort, with responsibility for building the Company’s pipeline across federal agencies and state and local public safety operators for the Overwatch Positioning Network. The role is focused on agencies and end users whose unmanned drone programs depend on positioning that continues to work when GPS is jammed, spoofed or unavailable.
Mr. Wolfe brings more than 20 years of federal sales and business development experience across defense, homeland security and public safety markets. He joins SPARC AI from Noble, where he served as Director of Federal Sales & Business Development and previously as Senior Federal Account Representative covering the U.S. Department of State, Department of Energy and U.S. Customs and Border Protection. In that role he grew the Department of State portfolio from approximately US$5–8 million to US$79 million in under three years, and led captures spanning a US$90 million blanket purchase agreement together with counter-UAS, border security and unmanned systems awards. His earlier career includes global product management at Avon Protection Systems and business development leadership at Peke Safety, Intelaform and GEOMET Technologies. Mr. Wolfe has deep domain experience in CBRNE, C5ISR and unmanned and counter-unmanned systems, and has worked extensively across procurement, contracts and compliance functions to support export licensing and international delivery. He is based in Baltimore, Maryland.
The Company has granted 100,000 RSUs to Mr. Wolfe pursuant to the SPARC AI Inc. Restricted Share Unit Plan in consideration of services provided to the Company. The RSUs vest in four equal tranches of 25,000 on each of 24 February 2027, 24 August 2027, 24 August 2028 and 24 August 2029. Each vested RSU entitles the holder to receive one common share of the Company in accordance with the terms of the Plan. The grant is subject to the terms and conditions of the Plan, applicable securities laws and the policies of the Canadian Securities Exchange, including applicable resale restrictions.
